In that regard, we note that Section 27 of the Exchange Act creates exclusive federal jurisdiction over all suits brought to enforce any duty or liability created by the Exchange Act or the rules and regulations thereunder, and Section 22 of the Securities Act creates concurrent jurisdiction for federal and state courts over all suits brought to enforce any duty or liability created by the Securities Act or the rules and regulations thereunder. If the provision applies to Securities Act claims, please also revise your prospectus to state that there is uncertainty as to whether a court would enforce such provision and that investors cannot waive compliance with the federal securities laws and the rules and regulations thereunder. Provide a background discussion of the “strategic reprioritization” that you reference on pages 41 and 42.
Confirm that you will provide similar disclosure in your future periodic filings.

The Company respectfully acknowledges the Staff’s comment and advises the Staff that it has revised the disclosure on page 41 of the Amended Registration Statement to, among other things, clarify that the Company does not track its research and development expenses on a program-by-program basis because its research and development expenses are shared across multiple development programs.
 
The Company respectfully advises the Staff that the phrase “strategic reprioritization” on page 45 of the Amended Registration Statement (pages 41 and 42 of the Registration Statement) is being used to describe the shift in the Company’s focus following the Merger to devote substantially all of its financial resources and efforts to developing its mRNA-based therapies for the treatment of autoimmune diseases.
 
The Company confirms that it will provide similar disclosure in its future periodic filings.

If the agreement has been terminated, clearly disclose this and tell us why it is appropriate for you to discuss the agreement in this section.
