Item 8.01 Other Events.
On April 13, 2021, Selecta Biosciences, Inc. (the “Company”) was notified by Sarepta Therapeutics, Inc. (“Sarepta”) of the achievement of the milestone event related to the completion of a non-clinical study for Duchenne muscular dystrophy and certain limb-girdle muscular dystrophies under the Company’s Research License and Option Agreement with an affiliate of Sarepta, effective as of June 13, 2020, as amended (the “Agreement”). Under the terms of the Agreement, Sarepta is obligated to pay a non-refundable, non-creditable milestone payment of $3,000,000 to the Company within 60 days of Sarepta’s receipt of the related invoice from the Company.
